The Modification Is the Business

GM Defense LLC, of Warren, Michigan, was awarded $697,686,693 by the US Army on Monday. General Motors shares rose about one percent on Tuesday.

Three details in the award notice matter more than the headline figure.

It is a modification, designated P00053, to contract W56HZV-20-D-0066, originally awarded in 2020. It covers engineering change proposals for the Infantry Squad Vehicle Utility and the Infantry Squad Vehicle Utility Winch Kit. And the modification brings the total cumulative face value of that contract to $915,597,166.

So the original 2020 award plus everything before this modification came to roughly $218 million. This single amendment is more than three times that.

The third detail is the one that explains the second: GM Defense was the sole bidder, with one bid solicited and one received.

That is the shape of nearly all long-lived contract revenue, in defence and everywhere else, and it is almost entirely invisible from outside.

A contract is not a sale. It is a relationship with a document attached, and the document is designed to be amended. The original award established that GM Defense builds this vehicle, has the tooling, holds the drawings, employs the people who know the programme and has passed whatever qualification the Army required. Every subsequent change to the specification then goes to the only organisation that can implement it, and each change carries a price that nobody is bidding against.

Every operator with a wholesale account recognises the pattern once it is named. You win the contract to supply a hotel’s coffee on price, and the margin is thin enough to be irritating. Then they want their own blend, which is a development charge. Then the machines need servicing, which is a maintenance agreement. Then the second property opens and it is obviously you, because retraining a new supplier across two sites is a project nobody wants. Three years in, the original tender that you nearly walked away from is a fifth of the revenue that came from it.

Which is why the smartest thing in competitive tendering is frequently to win narrowly rather than richly. The company that bids to make good money on the initial award often loses to the one that bids to be in the room when the specification changes, and the specification always changes.

The risk on the other side is real and worth naming. A business whose growth comes from amendments to one contract is a business whose growth is at the discretion of one customer, and sole-bidder status cuts both ways: you have no competition and they have no benchmark, which is a conversation that eventually gets had.

Work continues under the programme with the Army as contracting activity.

The competition was held once, in 2020. Everything since has been an amendment.
